Acceptance of Terms of Use

These Terms of Use (“Terms of Use” or “Agreement”) state the terms and conditions under which you (“you” or “your“) may use our website (the “Site“) and all Content and Services (as defined below) offered through the Site. The Site is owned and operated by FINTOP Capital (“FINTOP“, “we“, “our“, or “us“) Please read this Agreement carefully. This Agreement, along with our Privacy Policy, govern your use of the Site. If you do not agree with the terms and conditions outlined in this Agreement, you are not granted permission to access or otherwise use the Site. Any use of the Site in a manner inconsistent with these Terms of Use is deemed unauthorized access and may be subject to civil or criminal penalties. This Site contains various information in the form of data, text, graphics, logos, icons, images, sound clips, video clips, data compilations, page layout, underlying code and software, news, reports, videos and other materials relating to FINTOP as well as third party content, (collectively, the “Content”). By accessing, browsing and/or using this Site and any services that may be made available through the Site (the “Services”) you acknowledge that you have read, understood and agree to be legally bound by this Agreement. We reserve the right to amend this Agreement at any time and from time to time. If you use the Site after the amended Agreement has been posted, you will be deemed to have agreed to the amended Agreement.

 

Introduction

When used on the Site, “FINTOP” may refer to various investment funds managed by FINTOP Capital and/or to FINTOP Capital itself. “JAM FINTOP” refers to the joint venture between JAM Special Opportunity Ventures - Management LLC (“JSOV-M”) and FINTOP Capital as co-investment managers of those investment funds. JAM Special Opportunity Ventures (“JSOV”), an affiliate of JSOV-M, is a member of the general partnerships of JAM FINTOP investment funds. JSOV-M and JSOV are not currently affiliated with FINTOP Capital. The “JAM FINTOP Network” refers to the underlying limited partners in the JAM FINTOP investment funds, as well as entities that have joined the network on a fee-based basis. Neither JSOV-M, JSOV nor FINTOP Capital provide investment advisory services to the JAM FINTOP Network. FINTOP Capital, JSOV-M or their affiliates may have financial interest in companies identified in this communication. The activities of the JAM FINTOP Network are undertaken for the procompetitive purpose of educating participants about industry developments, particularly emerging technologies, which may enable community banks to provide better service and functionality to their customers. By participating in these activities, participants acknowledge receipt of and agree to abide by the JAM FINTOP Network Antitrust Compliance Guidelines, including the obligation to comply with all applicable antitrust laws. Nothing herein should be construed as an endorsement or testimonial of JAM FINTOP.

 

Limited Right to Use

FINTOP grants you a limited right to use the Site. Your right to use the Site is subject to your agreement to abide by these Terms of Use in their entirety, as well as any other rules, procedures, policies, terms or conditions that govern all or any portion of the Site. At any time and for any reason FINTOP may revoke your right to use all or any portion of the Site.

 

Use Restrictions

You are expressly prohibited from (i) using any robot, spider, intelligent agent, other automatic device, or manual process to monitor, “mine”, manipulate or copy the web pages on the Site, (ii) using any device, software or routine to interfere or attempt to interfere with the proper working or circumvent, disable or otherwise compromise any security features of the Site, (iii) knowingly or recklessly uploading or transmitting to the Site any data or material that contains viruses, spyware, worms or other malicious software code designed to adversely affect the operation of the Site or FINTOP’s software, hardware or networks (iv) taking any action, including flooding, spamming, mailbombing and crashing, that imposes an unreasonable or disproportionately large load on FINTOP’s infrastructure, (v) transmitting to the site or to any FINTOP personnel, any profane, defamatory, libellous, threatening, obscene or unlawful material, (vi) reverse engineering, decompiling or disassembling the underlying software, (vii) removing any notices, warnings, labels, annotations or instructions from any portion of the Site or any related material, including, without limitation, any trademark, copyright, or other proprietary notices or license provisions, or (viii) otherwise invading the privacy of, obtaining the identity of, or obtaining any personal data about any user of the Site.

 

FINTOP prohibits the use of any links to the Site from any other websites unless establishment of such a link is approved in advance by FINTOP in writing. You may not frame any elements of the Site with any other website.

 

Any violations of system or network security, including attempts to intentionally access a computer without authorization or exceed your authorized access level, may result in civil and criminal charges. FINTOP may investigate occurrences that might involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. We may, without prior notice or warning of any kind, restrict or terminate the access of any and all users to the Site if we reasonably conclude that such restriction or termination is necessary to prevent, or prevent the further spread, of a virus, security breach or system malfunction.

 

Privacy Policy

Please review the FINTOP Privacy Policy, which is part of this Agreement and hereby incorporated by reference, to learn about our information collection and processing practices and the measures we take to preserve the privacy and security of your information. By using the Site, you acknowledge having been informed about the collection, use, disclosure and other handling of personal data consistent with the Privacy Policy.

We use cookies to collect certain information about your browsing session when you visit the Site. Cookies are bits of text that are stored on your device. We use cookies to ensure our Site functions properly and to improve your online experience. Sign-In Name and Password Policy

Certain areas of the Site may require you to register prior to being granted access. During the registration process, we will assign to you a unique sign-in name (“Sign-In Name”). Your Sign-In Name can be used by only one individual (“User“). You are solely responsible for the confidentiality and use of your Sign-In Name as well as for any use, misuse or communications entered through the Site using your Sign-In Name. You should notify FINTOP immediately if you become aware of any loss, theft or unauthorized use of your Sign-In Name. FINTOP reserves the right to delete or change your Sign-In Name and terminate or suspend your User access to the restricted access areas of the Site at any time and for any reason.

 

Intellectual Property Rights in the Site

You acknowledge that the Site, the domains and sub domains, and the various elements contained therein, including, but not limited to, the Content, are protected by copyrights, trademarks, trade secrets, patents, or other proprietary rights, and that these worldwide rights are valid and protected in all forms, media, and technologies existing now and hereinafter developed. You also acknowledge that the Content is and shall remain the property of FINTOP or its licensors. You shall comply with all intellectual property laws and you shall not encumber any interest in, or assert any rights to, the Content. You may download or copy Content only to the extent such download is expressly permitted in writing on the Site. No right, title or interest in any downloaded Content is transferred to you as a result of any such downloading or copying. You may not reproduce (except as noted above), modify, publish, distribute, display, transmit, participate in the sale or transfer of, or create derivative works based on any Content, in whole or in part.

“FINTOP” and all other trademarks, trade dress, logos and service marks displayed on the Site (collectively the “Trademarks”) are Trademarks belonging to FINTOP, its affiliated entities, or its licensors. Nothing on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademarks displayed on the Site, without FINTOP’s prior written permission in each instance. All goodwill generated from the use of the Trademarks are for the benefit of FINTOP, its affiliated entities, or its licensors, as the case may be.

 

International Use

The Site is operated and controlled by FINTOP in the United States, and the Content provided in or accessible through the Site is, unless otherwise specified, directed at residents of the United States. Despite the global nature of the Internet, FINTOP makes no claims that the Content or the Site are appropriate or may be viewed or used outside the United States where access may be illegal or prohibited. FINTOP makes no representations that the transactions, products or Services discussed on or accessible through the Site are available or appropriate for sale or use in all jurisdictions or by all users. Those who access the Site from outside the United States do so on their own initiative and are responsible for establishing the legality, usability and correctness of any Content and the compliance with local laws, rules and regulations. You should direct any concerns regarding any third-party websites to the administrator of the applicable third-party website. FINTOP has not reviewed all the third-party websites sites that may be linked to the Site and makes no representation or commitment and accepts no responsibility for any such third-party websites, or any transactions completed, or contracts entered into by you with any such third-party or any security threats they may cause to your system.

 

User Information

By submitting any unsolicited information and materials, including comments, ideas, questions, designs, and other similar communications (collectively, “User Information”) to FINTOP through the Site, you agree to be bound by the terms and conditions of this Agreement. If you do not agree with these terms and conditions, you should not provide any User Information to FINTOP through the Site. All User Information will be considered NON-CONFIDENTIAL and NON-PROPRIETARY. FINTOP, or any of its affiliated entities, may use such User Information for any purpose whatsoever, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast, and further posting. Further, FINTOP and its affiliated entities are free to use any ideas, concepts, know-how, or techniques contained in any User Information you send to the Site for any purpose whatsoever, including, but not limited to, developing, manufacturing, and marketing products. By submitting any User Information to the Site, you are granting FINTOP and its affiliated entities a non-exclusive, royalty-free, perpetual,  irrevocable, worldwide right and license to use, reproduce, modify, adapt, publish, translate, distribute, transmit, publicly display, publicly perform, sublicense, create derivative works from, transfer and sell such User Information and to use your name and other identifying information in connection with such User Information.

You may terminate these Terms of Use at any time, provided that you discontinue any further use of the Site.  Such termination by you will not be effective if FINTOP, in its sole discretion and without notice to you, determines that you failed to comply with any term or condition stated herein. FINTOP reserves the right, in its sole discretion, to restrict, suspend or terminate these Terms of Use and your access to all or any part of the Site, at any time and for any reason without prior notice or liability. FINTOP reserves the right to change, suspend or discontinue all or any part of the Site at any time without prior notice or liability. Upon any termination of these Terms of Use, you must destroy all Content and materials downloaded from the Site and all copies and installations thereof, whether made under these Terms of Use or otherwise.

 

Security of the Site

Actual or attempted unauthorized use of the Site may result in criminal and/or civil prosecution. FINTOP reserves the right to view, monitor and record activity on the Site without notice or permission from you. Any information obtained by monitoring, reviewing or recording is subject to review by regulators, law enforcement or other organizations in connection with investigation or prosecution of possible illegal activity on the Site. FINTOP will also comply with all court orders as well as all law enforcement and regulatory inquiries involving requests for such information.

 

Severability

If any section of these Terms of Use are deemed unlawful, void or for any reason unenforceable, then that section shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining sections.

 

Miscellaneous

The sections of these Terms of Use entitled Disclaimers and Limitation of Liability, Indemnification, Severability and Miscellaneous shall survive the termination of these Terms of Use. These Terms of Use and any dispute that may arise between you and FINTOP shall be governed by and construed in accordance with the laws of the State of New York, USA, except with regard to its conflicts or choice of law rules. These Terms of Use contain the entire agreement between FINTOP and you concerning the Site and supersedes all existing agreements and all other oral, written or other communication between FINTOP and you concerning the Site. You may not assign these Terms of Use or transfer any of your rights or obligations hereunder without FINTOP’s express written consent. These Terms of Use inure to the benefit of FINTOP’s successors, assigns and licensees. Our failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. You shall comply with all laws, rules and regulations that are now or hereinafter promulgated by any government authority or agency that govern or apply to the operation and use of the Site. You are prohibited from any use of the Site that would constitute an illegal offense, give rise to liability or otherwise violate any applicable local, state, national or international law or regulation.
